Barisan Gold Provides Update on C$11.2 Million Rights Offering

VANCOUVER, B.C. - September 20, 2011 - Barisan Gold Corporation (TSXV-BG) is pleased to announce that it has completed the initial subscription under its previously announced rights offering of approximately C$11.2 million to eligible shareholders of East Asia Minerals Corporation (TSXV-EAS) of record as at July 21, 2011.
Under the offering, approximately 11.3 million units comprising approximately 11.3 million common shares and approximately 5.7 million warrants were issued to shareholders that elected to exercise their rights. Gross proceeds from the initial subscription totalled approximately C$6.2 million.
Barisan Gold also announces today that, pursuant to the terms of its standby purchase agreement with CEF Holdings Ltd., the closing date for the completion of the standby commitment has been set for September 27, 2011. Subject to the conditions of closing under the standby purchase agreement being satisfied and pursuant to the terms thereunder, CEF Holdings Ltd. (or an affiliated entity designated by CEF Holdings Ltd). will purchase approximately 9.0 million units comprising approximately 9.0 million common shares and approximately 4.5 million warrants for gross proceeds of approximately C$5.0 million. Upon satisfaction of the standby commitment, CEF Holdings Ltd. (or an affiliated entity designated by CEF Holdings Ltd.) will hold approximately 9.0 million common shares or approximately 22% of the total number of Barisan Gold's common shares issued and outstanding and approximately 4.5 million warrants.
Upon completion of the standby commitment, Barisan Gold expects a total of 40,706,186 common shares and 10,176,546 warrants of Barisan Gold will be issued and outstanding.
